General Terms of Service

SCOPE OF APPLICATION

1.1 In the terms of service described in this document, the contracting party is Gosse Oy.

1.2 These terms apply to maintenance and other services provided by Gosse Oy to consumer and business customers (the "Customer"). These terms also apply, where applicable, to the relationship between Gosse Oy and its resellers.

1.3 These delivery terms also apply to products sold by Gosse Oy, such as spare parts, devices, and accessories.

CONTENT OF SERVICES

2.1 The content of services is described in the service descriptions provided by Gosse Oy.

2.2 Services are either provided under a warranty granted by the device manufacturer who has an agreement with Gosse Oy (principal) ("warranty work"), or they are subject to a charge in accordance with the current price list ("chargeable work"). The warranty terms of the principals are available on their respective websites.

2.3 Gosse Oy has the right to use subcontractors to fulfill its contractual obligations.

FORMATION OF CONTRACT AND ORDER OF PRECEDENCE

3.1 A contract for a specific service event between the parties is formed upon acceptance of an order or quotation, or when a Gosse Oy reseller issues a service receipt to the customer.

3.2 If the parties have a separately concluded written agreement, that agreement and its annexes take precedence over these terms.

PRICE

4.1 Chargeable work and cost estimates are invoiced according to the valid price list.

4.2 Gosse Oy reserves the right to charge delivery fees and small invoice surcharges in accordance with the price list, on a case-by-case basis.

4.3 If the service is provided under warranty, the service is free of charge to the customer in accordance with the principal’s warranty terms.

4.4 Devices and accessories have manufacturer-provided warranties covering material and manufacturing defects. Defects caused by external factors (e.g., mechanical stress or moisture) are generally not covered under warranty.

4.5 If a non-warranty repairable defect is found in a device submitted under warranty, the customer may choose to have the defect repaired as chargeable work, have the device returned unrepaired, or request service cancellation. If the device is clearly outside warranty coverage, returned at the customer's request, left unrepaired, or deemed unrepairable, an estimate fee may be charged.

PAYMENT TERMS

5.1 The customer is generally required to pay for the service when receiving the device or upon receiving a payment request.

5.2 Invoices must be paid by the due date. Late payments may incur interest in accordance with the Interest Act, from the due date until the date of payment.

5.3 If payment is not made within the required time, the device may not be returned to the customer until the full amount, including interest and fees, is paid or appropriate security is provided.

5.4 In cases of payment delay, a reminder fee and collection costs may also be charged.

5.5 Complaints regarding invoices must be made within a reasonable time from the invoice date. A reasonable time is typically fourteen (14) days.

DELIVERY AND RECEIPT INSPECTION

6.1 Gosse Oy will generally return serviced devices to the original dispatch location. A customer who submits a device to a reseller is not responsible for warranty service transportation costs. For chargeable work, transport or delivery fees may be charged. Transportation responsibilities between reseller and Gosse Oy follow established practices. Both parties are responsible for clarifying these practices.

6.2 Gosse Oy always reserves the right to return a device unrepaired to the reseller without prior notice.

6.3 The customer must check the device's functionality upon receipt of the device or service and report any defects within a reasonable time. A reasonable time is typically fourteen (14) days.

WARRANTY

7.1 Gosse Oy provides a one (1) month labor warranty for services and spare parts used. If the device is returned during the warranty period for a different issue, it is considered a new service event. This warranty does not limit liability for defects under consumer protection laws or these terms.

LIABILITY FOR DEFECTS

8.1 If a defect occurs in the delivery, Gosse Oy must correct the defect or re-perform the service. The customer must allow Gosse Oy a reasonable additional time for correction, typically thirty (30) days.

8.2 If correcting the defect or re-performing the service would result in unreasonable costs or inconvenience relative to the defect, Gosse Oy is not obligated to correct it. The consumer may refuse correction if it would cause significant inconvenience, risk of non-compensation, or if there is another special reason.

8.3 If correction or re-performance is not possible or is not done within a reasonable time after defect notification, the customer may demand a price reduction corresponding to the defect.

8.4 If there are substantial grounds to assume that the service will be defective, the customer may terminate the contract for the unperformed portion.

8.5 Gosse Oy is not liable for defects if the customer fails to report the defect within a reasonable time after discovering it or when it should have been discovered. A reasonable time is typically fourteen (14) days.

8.6 Gosse Oy is not liable for defects caused by misuse or failure to follow instructions, or due to reasons under the responsibility of the customer or a third party.

DELIVERY TIME AND DELAYS

9.1 Service must be completed within a reasonable time, typically thirty (30) days.

9.2 The customer may cancel the service agreement if delivery or defect correction is significantly delayed beyond the stated delivery time, or if the device is not returned or repaired within a reasonable grace period set by the customer. If a substantial portion of the service is completed, the customer may only cancel the uncompleted portion unless the purpose of the service is fundamentally undermined by the delay.

9.3 The customer must notify Gosse Oy of the intent to cancel the contract within a reasonable time after delivery. The same applies to any compensation claims.

9.4 If timely delivery is prevented due to a force majeure event as defined in Section 11, delivery is considered timely if it occurs within a reasonable time after the obstacle has ceased.

CUSTOMER'S RIGHT TO COMPENSATION

10.1 If a defect is not corrected within a reasonable time or there is a delay, the consumer customer has the right to compensation for direct damage as per the Consumer Protection Act, Chapters 5 or 8. For business customers and resellers, Gosse Oy's liability is limited to the contract's financial value.

10.2 For consumers, the seller is liable for indirect damages only if the defect or delay is due to the seller’s negligence. Gosse Oy is not liable for indirect damages for business customers or resellers. Indirect damages include loss of production, turnover, or profit due to cancelled or unfulfilled third-party agreements.

10.3 If a replacement device is provided free of charge during the service period, the customer is not entitled to further compensation for being unable to use the original device.

10.4 Gosse Oy is not liable for device damage or loss during transportation to the reseller.

FORCE MAJEURE

11.1 Gosse Oy is not liable for defects or delays caused by war, rebellion, export/import bans, natural disasters, pandemics, exceptional weather conditions, public transportation or energy supply disruptions, unforeseen technical issues, fire, labor disputes, third-party failures, or other circumstances beyond its control.

11.2 Gosse Oy must notify the customer of the obstacle and its impact on delivery as soon as it becomes aware.

CONFIDENTIALITY

12.1 Neither party may disclose information about the service to third parties without the other party's consent, unless necessary for fulfilling contractual obligations.

12.2 Neither party may use the contract or the other party’s name for marketing purposes without prior written consent.

TRANSFER OF CONTRACT

13.1 Gosse Oy may transfer the contract in connection with a business transfer. The customer may not transfer the contract without Gosse Oy’s prior consent.

DISPUTE RESOLUTION

14.1 If a consumer’s complaint does not resolve the dispute, the consumer may contact the national Consumer Advisory Services, which can assist in resolving the issue. The consumer may also refer the dispute to the Consumer Disputes Board. Legal proceedings will be handled in the district court of the customer’s domicile.

14.2 Only the Finnish-language terms are legally binding. In case of discrepancy or conflict between translated versions, the Finnish version shall prevail.
